VEROAI Terms and Conditions of Service (TOS)

PREAMBLE

Welcome to VEROAI (the "Platform"), a multi-modal generative service owned and operated by [Your Company Name]. These Terms and Conditions ("TOS") govern your access to and use of the VEROAI services, including all content generation (text, images, video concepts, code, audio, and automation tools) provided through our platform. By accessing or using the services, you agree to be bound by these TOS.

1. Definitions

• Platform: The VEROAI generative service, including its web interface, APIs, and underlying AI models (Gemini, Imagen, TTS, etc.).

• User: Any individual or entity that registers for or uses the VEROAI Platform.

• Input: All text, data, images, or files submitted by the User to the Platform for processing.

• Output: All generated content, including text, articles, scripts, images, audio, video concepts, functional code, and automation results produced by the Platform based on User Input.

• Artifacts: The comprehensive term for the Input and Output, including all data, documents, and files stored within the Platform.

2. User Accounts and Access

2.1 Registration: To access certain features (including data persistence and multi-user functionality), you must register and create an account. You agree to provide accurate and complete information and maintain the confidentiality of your credentials.

2.2 Eligibility (Italy): The Platform is intended for use by individuals who are at least 18 years old or, if a minor, possess parental or guardian consent in accordance with Italian civil law.

2.3 Acceptable Use: You agree to use the Platform only for lawful purposes and in accordance with these TOS.

3. Intellectual Property Rights (IP) - Generated Output

3.1 Input Ownership: You retain all ownership rights in the Input you provide to the Platform.

3.2 Ownership of Output (Subscription-Based): Ownership of the Output is determined by the User's active subscription tier as follows:

3.3 Assignment of Output (Enterprise, PRO, VIP Tiers): For Users with an active Enterprise, PRO, or VIP subscription, VEROAI hereby assigns and transfers to the User all its rights, title, and interest in and to the Output, effective upon successful generation. This allows the User to use the Output for any commercial or personal purpose.

3.4 Watermarking and Source Identification (Lower Tiers): For Users on the Starter (IYE), PREMIUM, or Regular subscription tiers, VEROAI reserves the right to include a visible, indelible watermark, digital signature, or other identifier on the Output (especially images and video content) to assert VEROAI's retained ownership.

3.5 Limited License for Lower Tiers: For Users on the Starter (IYE), PREMIUM, or Regular subscription tiers, VEROAI grants you a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, display, and publish the Output solely for non-sublicensable internal business purposes or promotional uses that do not conflict with VEROAI’s interests. Removal of any watermark or identifier is a material breach of these TOS.

3.6 Exceptions (Training and Improvement): You grant VEROAI a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and analyze the Input and Output solely for the purpose of maintaining, improving, and developing the Platform and its underlying models. VEROAI will apply industry-standard best practices to anonymize and aggregate data where feasible.

4. User Responsibilities and Prohibited Use

4.1 Liability for Use of Output: You are solely responsible for all uses of the Output, including, but not limited to:

a) Accuracy and Fact-Checking: You must independently verify the accuracy, legality, and factual correctness of all Output before publication or reliance, particularly for financial, legal, or medical information.

b) Intellectual Property and Copyright (Italy): You are responsible for ensuring that the Input and the resulting Output do not infringe upon any third-party intellectual property rights, including copyrights (Legge n. 633/1941) and trademarks, in Italy or internationally.

c) Plagiarism and Attribution: For content generated by the AI Writer or AI ReWriter, you are responsible for ensuring appropriate citation and disclosure if required by applicable standards.

4.2 Prohibited Content: You may not use the Platform to generate, store, or promote:

a) Illegal activities under Italian or European Union law.

b) Child sexual abuse material or content promoting self-harm, violence, terrorism, or hate speech.

c) Misinformation intended to defraud, mislead, or harm the public (e.g., deepfakes without clear disclosure).

4.3 Security: You shall not attempt to reverse engineer, hack, or disrupt the integrity or performance of the VEROAI Platform or its data persistence layer.

5. Disclaimers and Limitations of Liability

5.1 Service Availability: VEROAI strives for high availability but does not guarantee uninterrupted, secure, or error-free service. The service may be temporarily unavailable for maintenance or due to external factors.

5.2 Output Disclaimer: The Platform relies on large language models and other AI technologies. The Output is provided "as is" and VEROAI makes no warranties, express or implied, regarding its accuracy, fitness for a particular purpose, or non-infringement. The Output may occasionally contain errors, inaccuracies, biases, or reflect sensitive or problematic content from its training data.

5.3 Limitation of Liability (Italy): To the maximum extent permitted by applicable Italian law (including the Consumer Code - D. Lgs. 206/2005), VEROAI, its affiliates, and their respective directors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with these TOS or your use of the Platform.

6. Data Protection and Privacy (GDPR Compliance)

6.1 Compliance: VEROAI is committed to protecting User privacy in compliance with Regulation (EU) 2016/679 (General Data Protection Regulation or GDPR) and the Italian Privacy Code (D. Lgs. 196/2003, as amended).

6.2 Data Controller/Processor: [Your Company Name] acts as the Data Controller for User registration data and the Data Processor for Input/Output content generated by the User.

6.3 Privacy Policy: Our collection and use of personal data are further detailed in our separate Privacy Policy, which is incorporated by reference into these TOS. By accepting these TOS, you also accept the terms of the Privacy Policy.

7. Termination

7.1 Termination by User: You may cease using the Platform and terminate your account at any time.

7.2 Termination by VEROAI: VEROAI reserves the right to suspend or terminate your account and access to the Platform immediately if you breach any of these TOS, particularly Section 4 (Prohibited Use).

8. Governing Law and Jurisdiction

8.1 Governing Law: These TOS shall be governed by and construed in accordance with the laws of the Republic of Italy, without regard to its conflict of law principles.

8.2 Jurisdiction: Any dispute arising out of or relating to these TOS shall be submitted to the exclusive jurisdiction of the competent courts located in Italy, e.g., Milan.
